The producer-multiplex owner conflict is hurting all


If 2008 turned out bad for the Indian film industry, 2009 is proving worse! The first quarter of the year is already over and there is only red splattered all over on bollywood balance sheets. Except for Raaz2 (which fared average), no bollywood film released in the first quarter of 2009, has done credit to the efforts of the clapperboys and costs. CC2C, Delhi 6, Tasveer 8x10 & many more flicks also met a similar fate, and if that wasn't enough, the tussle over revenue sharing, between multiplex owners and film producers, have made matters worse!

Currently producers get 40-48% of the ticket sales in the first week, a share which falls in consequent weeks. The producers are now asking for a 50% share throughout, irrespective of the films’ performance, budget, starcast et al. “Equal profit sharing is practised globally. So this is a fight for justice,” says filmmaker Mahesh Bhatt. But Tushar Dhingra, COO, Big Cinemas, counters, “Before the advent of multiplexes, rent to the theatre owner was fixed irrespective of whether the movie was a hit or flop. Therefore, the risk lay completely with the producer. Now, the theatre owners also bear part of the risk.” So what has been the reaction from the producers? Well, no new release has happened in multiplexes since April 4, 2009, and for now, the producers have decided to stick to this decision until a 50-50 revenue sharing scheme is finalised.

So while on one end, the film producers and distributors are busy with the dogfight, flicks are taking the hits; the first casualty being Aa Dekhen Zara (ADZ) which was released only in single-screen theatres. The reason clearly being that the two parties couldn't arrive at an agreeable revenue sharing scheme for the film. So how much has the film suffered so far? As per estimates, ADZ has collected a petty Rs.2 crore at the box office. Now compare that with the collection of a small budget film like A Wednesday, released in September 2008, which milked between Rs.8-10 crore! “Had ADZ been released in multiplexes too, the collections would have been many times better,” asserts a media analyst. The success of any film today depends a lot on the multiplex audience.

First came the slowdown avalanche, they continued climbing... Then came the storm, they climbed further... Then came competitors criticising their weaknesses; but they’d reached the summit by then! “Our greatest competition is with ourselves.” Or “Our greatest challenge is how to continue to provide value to our customers.” How often is it that you have heard our good ol’ CEOs utter these angelical words, and how many times have you believed them? We hear such statements, albeit rephrased in many different ways, just about all the time; and as far as believing them goes, all we can say is that being politically correct hardly remains a domain exclusive to politics!

That’s because there is no business establishment that can survive in this marketplace by just looking at the customer’s needs. A company has to view its entire business environment in a holistic context, and competition, in particular, has to be studied closely, all the time. Even as we speak, there are new competitive benchmarks being consistently set in every industry, and it’s quite obvious that all of them do not come from one company. There are precious few companies like GE, which develop benchmarks far ahead of the competition and can afford some complacence (even GE hasn’t been immune in fact!). And there are times when these benchmarks can make all the difference between winning and losing. So there is no reason to disbelieve the fact that if companies just focus on customers and turn a blind eye to competition, they are headed for testing times.

And economic slowdown is the mother of innovation. When the pie gets smaller, competitors search for newer ways to grab a greater share, and it becomes all the more important to outmanoeuvre them when and where it counts. But the key question is – what will work? What magical formula can a company use to win in the downturn, or even to insure itself better against future downturns?

The Consumer Always Comes Last

April 1, 2009 could well turn out to be a red letter day (due apologies to Prakash Karat) for Indian consumers. Following a directive from the Reserve Bank of India, you and I can withdraw money from any ATM anywhere in India without having Rs.20 to Rs.50 deducted from our accounts. Banks opposed it fiercely, even issuing threats that they will be reluctant to expand their ATM networks if they can’t impose ‘transaction’ charges. For a change, their lobbying efforts with the RBI have failed, and the latest move will be a huge convenience for Indian consumers.

This is a rare victory for the Indian consumer. Even now, banks have surreptitiously imposed such crazy conditions that an average bank account holder will, more often than not, pay extortionate charges. Take the little known policy whereby a bank account holder cannot access her own bank’s ATM more than thrice or four times a month without paying ‘transaction charges’. The banks say this is to discourage unnecessary crowding at ATM counters. Years ago, the same banks used the same logic to deny account holders access to a bank branch. Account holders were encouraged to use ATMs and actively discouraged (sometimes even prohibited) to use their own bank branch for basic transactions. Consumers were told then that unlimited access to ATMs will be better than waiting in a queue at a branch. But then, unlimited access to ATMs was soon restricted. This is just one example of how banks routinely fleece their consumers. Anyone with a credit card or a deposit in a private or multinational bank will have horror stories.

It is not just banks. Telecom companies, passenger car makers, FMCG companies, commercial aviation companies, insurance companies… just about any enterprise in India with an interface with a consumer ends up fleecing her. Sample a few more examples. A study found that more than 80% of the new electronic meters installed by a private electricity distributor in Delhi were so hi-tech that they ran faster than actual electricity consumption! Of course, the hapless consumer has to first pay an inflated bill and then argue because his power will be cut off otherwise. From out of the blue, private airport operators in Bangalore and Delhi started charging a Rs.200 plus fee from every passenger. This was never a part of the lucrative deals they had signed with the government. And yet, the Civil Aviation ministry – tasked with protecting the interests of the Indian air traveller – connived with private operators to loot the Indian consumer.

In theory, the Indian consumer can approach a consumer court for relief. But in practice, large companies and their battery of lawyers have made the process a frustrating grind for the consumer. Consumer courts were formed to ensure that cases can be settled without lawyers. That basic philosophy has become a joke. In any case, even if a consumer court passes an order favouring the consumer, other Indian courts now promptly – and distressingly – provide relief to the company. Very soon, consumer courts could resemble the average Indian court, where a case might be settled after the litigant has died.

Sure free access to ATMs is a great move. But without much, much more, it could well be an April Fool gesture!

No surprises; it’s nationalism and not globalization that has created great nations over the years

The secret of the Unicorn!

In fact, the time-line between the beginning of the First World War and the end of the Second World War and furtheron after it, has been the most intriguing period in terms of the transformation of nation states into nationalistic states. While four established empires – namely Russian, Ottoman, German and Austro-Hungarian – were washed away by the tides of the First World War, this period also witnessed the emergence of the violent form of ethnic nationalism which almost destroyed the world with the rise of the German Nazis and their fanatic obsession with the obliteration/subjugation of Jews and in fact anyone who – according to them – was not a pure Aryan.

Incidentally, the way Hitler galvanized a disparate Germany, which was humiliatingly defeated in the First World War, into a reckoning force vindicated the fact of how potent a force the war-cry to resurrect the lost pride of fatherland (or motherland) could be. Nazis became a spent force for good after the defeat of Germany in World War II, but ethnic nationalism continued. Oddly, that the Jewish State succeeded to an extent against all ‘odds’ and emerged as a pioneer in high end technologies is also proof of how nationalism drives the fanatic passion to not only survive, but consolidate and fortify. Had it not been for the ethnic pride and the quest to wipe the humiliation of the past, Japan and Germany wouldn’t have had such incredible resurrections (both economic and political) in just a few decades’ time to become the second and third largest global economies respectively, their decimation in the Second World War notwithstanding.

In another case, though Obama succeeded to replace the CIA’s director by the former Chief of Staff, Leon Panetta, he had to face huge criticism from press, polity and public. Adding salt to the woes, the relation between the President and New York Police Department (NYPD) is exemplified by the recent cartoon controversy in New York Post. In it, two NYPD policemen were shown shooting a chimpanzee with a caption that read, ‘they’ll have to find someone else to write the next stimulus bill.’This agitated Black civil rights activists. These issues raised questions over the extent of control Obama has on the intelligence and security establishments of US. One has to remember that US is nothing much without its key intelligence agencies and the world’s most sophisticated armed forces. Amidst all these, the arrest of two Tennessee guys- Daniel Cowart and Paul Schlesselmen who were planning to kill 102 African-American children and then assassinate Obama vindicates the resurgence of white racists and reminds the assassination of another American President John F. Kennedy. It’s better to hope less than to expect that Obama can completely end racism. He can at best abolish it from English language. If he does, it would just be the word and not its essence that would be wiped from earth and especially from the US. Poor Obama.

Then there were other mergers too between end-1999 and 2002, notable of which were Worldcom & Sprint (valued at $100 billion, 1999), France Telecom & Orange ($37 billion, 2000), Quest & US West (valued at $48 billion, 2000), JDS Uniphase & SDL Inc. (valued at $41 billion, 2000) and Deutsche Telecom & Voicestream (valued at $51 billion, 2001). Known then as landmark deals, today just these five mergers stand tainted, having eroded a net total of $228 billion in the first year post-merger, $242 billion in the second year and another atrocious $258 billion in the third year post-merger. In total, the seven aforementioned deals chipped off a clean $1.25 trillion in just the three years following the ‘on-recession deal’ – a mind-numbing 260% more than India’s GDP in 2000!

Moreover, the Indian logistics industry is dominated by unorganised players. Transporters with fleets smaller than five trucks account for over 75% of the total trucks owned and operated in India and make up 80% of revenues. Even the freight forwarding segment comprises thousands of small customs brokers and clearing & forwarding agents, who just cater to local cargo requirements. So, considering this, the biggest challenge for organised players like Safexpress will be to take the growth forward. In fact, “one can even see a major phase of consolidation in the sector in the coming times,” avers Pradhan.

No doubt Safexpress has generated a decent level of loyalty and trust towards the brand in the past few years, but with the sudden flurry of international behemoths like FedEx, DHL, TNT, et al, and considering their edge over domestic players, particularly because of their big pockets, players like Safexpress will definitely find it hard to retain clients.

However, the company has bagged only 8% market share in India till date, in sharp contrast to Nokia’s 70% market share. Still, SEIL is confident on its handset strategy in India, with its focus on low-end market.

Till now, SEIL had deployed a strategy of premium positioning, but now it would indeed make sense for the company to focus on the masses. Moreover, Samsung must revisit its communication strategy much like the way they have changed their communication for handsets; and efficiently target different sets of customers through differentiated marketing strategies. Clearly, Shin would have to open more battlefronts to improve the company’s standing in the country.

You can’t take the call!

Conclusively speaking, Buffett is still the man calling all the shots, and one who still owns 32.68% of Class A shares at Berkshire (with super-voting rights); and he’s also the Chairman of Berkshire. Buffett could very well choose to give away his throne to any of the three we mentioned earlier; or to 82 year old Charlie Munger (his right hand man and billionaire partner), or to David Sokol (Chairman, MidAmerican Energy Holdings Company; a multi-billion dollar Berkshire company). Or even to his eldest son Howard Graham Buffet (who serves currently on Berkshire’s board of directors) or to his younger son Peter (well, a musician). But you know what, he won’t! If even a line of what he told Daily Telegraph has to be believed, Warren will hold on steadfastly to the reins of Berkshire till the day he dies. And then guess what, it’ll be the Berkshire board that’ll decide the successor, irrespective of Warren’s letter.

But hey, really, if Ajit Jain can be the one, why can’t it be me? Think about it, why not? Well, I have insurance experience (auto industry; especially motorcycles; in fact, one motorcycle, mine); I too lead 30 odd people (at least, I’ve found them really odd); and even my godforsaken boss calls me every night (and she’s not even a woman, for Chrissake)! Warren, I’m calling your bluff here and now... I’m your guy, not Ajit... Warren... Hey Warren, can you hear me?!?!

Is Shoppers Stop India’s answer to WalMart?

Is B.S.Nagesh India’s answer to Sam? In his vision to revolutionise retail buying, surely yes. In his vision for making Shoppers Stop a world standard, perhaps not. That brings us to the next question. Is Shoppers Stop India’s answer to WalMart? Not yet; and strangely, mostly because of reasons that seem to be beyond their control (or are they?). And that’s where the pain starts; of being Shoppers Stop, of being B.S.Nagesh, of operating in an industry and environment that can only support you this much, of being enmeshed in a vision that is entrapped within not only the limits of the sector’s operations, but also of the vision of the government.

Despite my evident undercurrent of the critic’s clarinet, I accept that Nagesh (and even Shoppers Stop for that matter) is the best that could have happened to India in a century of retailing. Well, at least until the past year (I’ll come to that later). There can be no better logic that justifies this status than the manner in which a single man and a brand jumpstarted the view of India to retail.

Picture this – Maharashtra accounts for a whopping 45-50% of revenues for

Shoppers Stop. All is going hunky dory when a sweet little company called Reliance wakes up one fine day in 2008 and increases its electricity charge for such projects by about 65%! How can Shoppers Stop handle that cost factor?

#2 – Service & Sales Tax My analysis became more flummoxing when I noticed that while Shoppers Stop pays varying levels of sales taxes in different states, the MRP system forces them to charge a single price across states, thus ensuring disuniformity to bottom lines. Nagesh adds another perspective, “Because of MRP, I can’t even pass on the service tax cost on to the consumer, unlike other organisations like consultants who can easily pass the component on.”

Having said that, there are costs that Shoppers Stop can control, and should directly target for the short term.

Not that he would, but if he does, he has good reason to. Since the end of the Second World War, the global defence industry has played a crucial role in not just shaping the geopolitical strategies of powerful countries, but also in being a crucial pillar of the concerned economies. SIPRI (Stockholm International Peace Research Institute) states that since the 1950s, US alone has exported arms worth $566 billion to other countries. This incidentally is based on the 1990 constant price of dollar to bring out a uniform TIV (Trade Indicator Value). At current prices, the value could be nearly three times that. Since 1992 alone, US has sold arms worth $142 billion. Compared to US, the erstwhile Soviet Union, since the 1950s, has exported arms worth $461 billion; followed by UK with $107 billion, France with $100 billion, while the new avatar of USSR, Russia, since the disintegration of USSR in 1992 has notched up arms sales of $67 billion till 2007.

Perhaps the most dramatic paper that electrifyingly shook age-old perceptions was the one presented in 2004 by stalwart professors Belen Villalonga (Harvard Business School) and Raphael Amit (Wharton), who analysed “all” Fortune 500 firms and proved unequivocally that not only do the stock returns of family firms consistently show higher levels of risk, but also that “when ‘descendants’ (of founders or founding families) serve as CEOs, firm value ‘is’ destroyed!” If one presumed that modern corporate governance norms were enough to mitigate the damage caused by family successors, Villalonga and Raphael prove further that descendant CEOs “destroy value whether or not the family has control-enhancing mechanisms.” While the most noted 2003 research by London Business School proffered that family businesses “risk their growth potential if they fail to recruit from outside,” most amusing was the Economist research at the turn of the century that commented how the death of a significant inside shareholder resulted in a shareholders’ wealth increase (“the larger the deceased’s shareholding, the bigger the subsequent rise!”). Strangely, this finding gets humungous support from the subsequent benchmark 2005 research paper titled ‘Firm Performance...In Family Managed Firms’ by David Hillier (Leeds) and Patrick McColgan (Aberdeen), which documents positive stock price increases to the “announcement of the sudden death of a company’s founder executive.” But more seriously, they also indisputably brought out how family CEO successions are almost always followed by dramatic declines in not only stock performance, but dangerously, even operating results!
